Terms of Use – Galleries & Merchants Artkhade

These Terms of Use (hereinafter referred to as the "Galleries & Merchants Terms of Use") govern the relations between ARTKHADE SARL (hereinafter "Artkhade") and any art market professional, gallery owner, dealer, or broker (hereinafter the "Gallery User" or the "Merchant") accessing or using Artkhade's directory, listing, and connecting service on the artkhade.com website and its associated media.

1. PURPOSE OF THE SERVICE

The "Artkhade Galleries & Merchants" service (also designated as "Artkhade Galleries") allows art market professionals to:

1. Create, claim, or enrich an establishment profile (directory listing) visible to site users;
2. List artworks and art objects for commercialization, either under a unit Sales Mandate without subscription or via Direct Publication with a paid subscription.

2. GALLERY DIRECTORY: SUBMISSION, PUBLICATION, AND CLAIMING

2.1. Free establishment profile

Any Gallery or Merchant may submit information regarding their establishment for publication in Artkhade's directory.

Unless subscribing to a specific paid offer, the free profile exclusively allows the display of:

• The commercial name or corporate name of the gallery;
• The postal address and geographical location;
• The logo and artistic specialization;
• A presentation text (in French and/or English).

Restriction: The presentation text of the free profile must not contain any element reserved for paid features (notably: outgoing hyperlinks, direct phone numbers, or unmasked email addresses), under penalty of moderation by Artkhade.

2.2. Validation, moderation, and identity control

Artkhade reserves the discretionary right to verify the status of the applicant as an art market professional. Artkhade may request any supporting documentation (Kbis corporate registration excerpt, proof of mandate, or professional registration) prior to validating or modifying a profile.

Artkhade reserves the right to modify, refuse, suspend, or delete any submitted content if it fails to comply with these Terms of Use or the platform's editorial guidelines, without prior obligation of justification.

2.3. Claiming and pre-listed profiles

Artkhade may pre-list professional establishments based on publicly available data accessible to all. Any legal representative of a gallery may claim their profile or request its modification/deletion at any time by contacting Artkhade at contact@artkhade.com.

2.4. License on content, logos, and visuals

By submitting visuals, logos, trademarks, or presentation texts, the Gallery guarantees that it holds all necessary intellectual property rights.

The Gallery grants Artkhade a free, non-exclusive, worldwide license to reproduce, represent, adapt (specifically technical resizing), and broadcast these elements on the artkhade.com site, its newsletters, social media channels, and promotional media for the duration of the profile's publication.

2.5. Search Engine Optimization (SEO)

Directory profiles are intended to be indexed by third-party search engines (Google, Bing, etc.). The Gallery acknowledges that Artkhade exercises no control over the updating timelines of third-party search engine caches or indexation results in the event of profile modification or deletion.

3. LISTING AND COMMERCIALIZATION OF ART OBJECTS

The platform allows Merchants to list their artworks and art objects under two distinct arrangements:

3.1. Option 1: Commercialization via Unit Sales Mandate (Without subscription)

When the Merchant does not hold a paid subscription, they may entrust the commercialization of their artworks to Artkhade under an intermediation arrangement:

• Anonymity principle: The artwork is presented by Artkhade on artkhade.com and its promotional channels without stating the Merchant's or Gallery's name, guaranteeing provenance confidentiality to the public.
• Intermediary status: Artkhade acts as an independent intermediary and has no authority to legally bind the Merchant or grant discounts without their prior written consent.
• Formalization of the Unit Mandate: Each artwork or object entrusted under this arrangement is mandatorily subject to a specific Artwork Sales Mandate Agreement, signed or electronically validated between the Merchant and Artkhade. This unit contract sets out the financial and operational conditions specific to the artwork:
  • The designation and description of the artwork;
  • The reference price and currency;
  • The duration of the mandate and territory (Worldwide);
  • The intermediation commission percentage due solely upon effective and settled sale;
  • The payment timeline and survival clause (tail commission / commission queue).

3.2. Option 2: Direct Publication by the Gallery (With paid subscription)

When the Gallery subscribes to a paid offer (reference to Artkhade's GTC / GTS):

• The Gallery directly publishes its artworks under its own identity and brand;
• Objects are integrated into internal search engines, automated user alerts, and Artkhade's direct promotional channels;
• Prospective buyers are put in direct contact with the Gallery in accordance with the terms of the subscription package.

4. MERCHANT GUARANTEES AND DEONTOLOGY

For any artwork listed on Artkhade (whether via unit mandate or direct subscription), the Merchant expressly guarantees:

1. That they are the legitimate owner of the artwork or hold a regular and valid sales mandate granted by the owner;
2. That the artwork is free of any pledge, encumbrance, dispute, or third-party claim;
3. That they provide accurate and complete information regarding the authenticity, provenance, condition report, and documentation of the artwork.

Artkhade reserves the right to immediately remove any object listing without prior notice in case of reasonable doubt regarding its authenticity, provenance, or legality.

5. INTELLECTUAL PROPERTY AND PLATFORM DATA PROTECTION

The entire architecture, database, trademarks, and features of Artkhade are protected by copyright and database producer rights (Article L. 341-1 et seq. of the French Intellectual Property Code).

The Gallery User expressly refrains from any automated extraction (scraping), data harvesting, or bulk reuse of platform information without prior agreement. Pursuant to Article L. 122-5-3 of the French Intellectual Property Code, Artkhade expressly opposes any use of its content and data for training artificial intelligence models (TDM opt-out).

6. MODIFICATION, SUSPENSION, AND TERMINATION

• At the Gallery's request: The Gallery may request at any time the modification or deletion of its directory profile or the withdrawal of an object (subject to commitments undertaken in an active Sales Mandate Agreement). Artkhade undertakes to process such requests within a reasonable timeframe.
• At Artkhade's initiative: In the event of a breach of these Terms of Use, false or misleading information, identity theft, or conduct harmful to the platform's reputation, Artkhade reserves the right to suspend or terminate the Gallery's access without prior notice or compensation.

7. LIMITATION OF LIABILITY

Artkhade exercises the utmost care in publishing information but cannot be held liable for:

• Errors, omissions, or publication delays in content provided by Galleries;
• Disputes arising between a buyer and a Gallery during a direct transaction;
• Indirect damages, loss of opportunity, or lost profits arising from the use or inability to use the directory or listing service.

8. APPLICABLE LAW AND JURISDICTION

These Galleries & Merchants Terms of Use are governed by French law.

Any dispute relating to their interpretation, validity, or execution shall be subject to the exclusive jurisdiction of the competent courts within the jurisdiction of the Paris Court of Appeal, notwithstanding multiple defendants or third-party claims.
